These terms
These product terms are published by Harvest Nexus Holdings, Inc. ("Silver Fern"). They describe how Work Suite (the "Software") may be connected to a Third-Party AI Service, such as ChatGPT or Claude. They are consistent with Exhibit B, Section 2.e of Silver Fern's Software Use License Agreement (v2.12).
If your organization has a signed Software Use License Agreement or a signed Third-Party AI Service Connections amendment with Silver Fern, that signed agreement controls. These public terms do not replace it.
The website at silverfern.com is governed by the Website Terms of Use, not these product terms. Privacy practices for AI connections are described in the Privacy Policy.
Connecting a Third-Party AI Service
Customer may connect a Third-Party AI Service to Customer's instance of the Software through connectors, application programming interfaces, or other mechanisms provided or authorized by Silver Fern.
Access to and use of the Software through such a connection, and the acts and omissions of the Third-Party AI Service in connection with it, are treated as Customer's access, use, acts, and omissions, whether or not specifically authorized by Customer. That access is treated as use by the individual user whose credentials authorize the connection. It is limited to the Software modules licensed to Customer and the permissions assigned to that user in the Software.
Customer authorizes Silver Fern to transmit data, including Confidential Information, in response to authenticated requests received through the connection. Data transmitted to a Third-Party AI Service is transmitted at the direction of Customer or its users and is thereafter handled by the provider of that service under Customer's (or its user's) own agreement with that provider, not under the Software Use License Agreement. Customer is responsible for the decision to connect any Third-Party AI Service and for ensuring that the provider's terms and the configuration of that service (including any available training opt-out) are appropriate for the data made available through the connection.
Silver Fern makes no representation or warranty regarding any Third-Party AI Service. Silver Fern's responsibilities in connection with a connection are limited to operating the Software, including authenticating and serving authenticated requests. Silver Fern is not responsible or liable for the acts or omissions of any Third-Party AI Service provider, including that provider's processing, retention, use, disclosure, or training practices, or for any security incident, loss, or misuse involving data after it has been transmitted to a Third-Party AI Service.
Silver Fern will, as promptly as reasonably practicable following Customer's request, disable Third-Party AI Service access for any individual user or for Customer's account entirely. Silver Fern may suspend or disable that access where reasonably necessary to protect the security, integrity, or performance of the Software, to prevent or investigate a suspected violation, to respond to conduct of a provider that Silver Fern reasonably determines is incompatible with the agreement, or to comply with applicable law.
Authorization of a Third-Party AI Service connection is an authorization of access only. It does not constitute Silver Fern's consent to use the Software, its user interfaces, or its data structures to train any generative AI program or other artificial intelligence or machine learning model. Customer shall ensure that its and its users' use of each connected Third-Party AI Service complies with that restriction.
Actions through a connection
Anything done in the Software through a Third-Party AI Service connection, including creating, changing, or deleting Customer Data, is treated as done by the user whose sign-in authorized that connection, as if that user had done it directly in the Software. Customer is responsible for those actions and for the approval settings its users choose in each Third-Party AI Service, including any setting that lets changes go through without asking first. Silver Fern is not responsible for changes made through a connection in line with those settings.
